1. Agreement and Eligibility

These Terms of Use ("Terms") are an agreement between you and Enki Studios, LLC ("Enki Studios," "we," "us," or "our") governing your access to and use of OpenSpeechAI at openspeechai.com, including its dashboard, AI chat widgets, documentation, and related services (collectively, the "Service").

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. You must be legally capable of entering into a binding agreement and must not use the Service if applicable law prohibits you from doing so.

2. The Service

OpenSpeechAI is an AI-powered customer-engagement platform that allows customers to create agents trained on their content, deploy chat widgets on websites, answer visitor questions, manage conversations, capture leads, collect form submissions, and review related analytics and workflow information.

Features, limits, availability, and supported integrations may vary by plan and may change as the Service evolves. We may provide beta, preview, or experimental features that are offered as available and may be modified or discontinued at any time.

3. Accounts and Workspaces

You must provide accurate information and keep your account information current. You are responsible for protecting your credentials and for activity performed through your account. Notify us promptly if you believe your account has been accessed without authorization.

The Service may support personal and shared workspaces with different roles and permissions. Workspace owners control membership, access, billing, agents, and customer content within their workspace. Users must access only the workspaces and information they are authorized to use.

4. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Upload, generate, or distribute content that is unlawful, fraudulent, defamatory, abusive, exploitative, or that infringes another person's rights.
  • Use the Service to harass, threaten, deceive, impersonate, discriminate against, or cause harm to another person.
  • Send spam, facilitate phishing, distribute malware, or collect information without an appropriate legal basis or required notice.
  • Attempt to gain unauthorized access to the Service, another account or workspace, or any related system or network.
  • Probe, scan, exploit, disrupt, overload, or circumvent security, authentication, rate limits, usage limits, or access controls.
  • Reverse engineer or attempt to extract source code, models, or non-public components of the Service except where applicable law expressly permits it.
  • Use the Service or its output to develop or train a competing general-purpose model or service without our written permission.
  • Use the Service for high-risk activities where an incorrect response could reasonably result in death, personal injury, or significant legal or financial harm without appropriate qualified human review.

5. Customer Content and Visitor Data

"Customer Content" includes knowledge-base files, website content, URLs, instructions, chat messages, form configurations and responses, leads, feedback, notes, and other information submitted to or processed through your workspace.

You retain your rights in Customer Content. You grant us a limited, non-exclusive, worldwide license to host, copy, transmit, process, display, and otherwise use Customer Content only as reasonably necessary to provide, secure, maintain, and improve the Service and comply with law.

You represent that you have the rights and permissions necessary to submit Customer Content and instruct us to process it. You are responsible for your widget configuration, the legality and accuracy of Customer Content, and providing website visitors with any privacy notice, consent mechanism, or disclosure required by law. You must not use the Service to collect sensitive personal information unless you have determined that doing so is lawful and appropriate.

We do not use customer conversations or knowledge-base content to train our own general-purpose AI models.

6. Subscriptions and Billing

OpenSpeechAI may offer a free allowance and paid subscription plans. Current plan descriptions, prices, and usage limits are available on our Pricing page or in the Service. Paid subscriptions are processed by our payment provider and automatically renew for the selected billing period unless canceled before renewal.

You authorize us and our payment provider to charge the payment method associated with your subscription for applicable fees and taxes. If payment cannot be completed, we may restrict or suspend paid features. When a plan's included usage is exhausted, access to affected features may be limited until the allowance renews or the subscription is changed.

You may manage or cancel a subscription through the billing controls provided in the Service. Cancellation ordinarily takes effect at the end of the current paid billing period unless otherwise stated at the time of cancellation. Fees are non-refundable except where required by law or expressly stated otherwise at purchase.

We may change prices or plan features prospectively. When required, we will provide notice before a pricing change applies to an existing subscription.

7. AI-Generated Output

The Service uses artificial intelligence and automated retrieval systems. Responses, summaries, classifications, and other output may be inaccurate, incomplete, outdated, or inappropriate for a particular use. You are responsible for reviewing output and deciding whether and how to use it.

The Service is not a substitute for professional legal, medical, financial, safety, or other qualified advice. You must use appropriate human review before relying on output for consequential decisions. Similar or identical output may be generated for different users, and output may not be unique.

8. Intellectual Property

The Service, including its software, interface, design, documentation, trademarks, and other materials provided by Enki Studios, is owned by Enki Studios, LLC or its licensors and is protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.

If you provide feedback or suggestions, you grant us permission to use them without restriction or compensation, provided we do not identify you publicly without permission.

9. Third-Party Services

The Service relies on and may link to third-party services, including authentication, hosting, AI, payment, analytics, email, and integration providers. Your use of a third-party service may be governed by that provider's terms and privacy policy. We are not responsible for third-party services that we do not control, and their availability may affect parts of the Service.

10. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access when we reasonably believe you have violated these Terms, created security or legal risk, failed to pay applicable fees, or used the Service in a manner that could harm users, visitors, third parties, or the Service.

Following termination, your right to use the Service ends. Provisions that by their nature should survive termination, including provisions relating to ownership, payment obligations, disclaimers, and limitations of liability, will remain in effect. Data handling following termination is described in our Privacy Policy.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." Enki Studios disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.

We do not warrant that AI-generated output will be accurate, that the Service will meet every requirement, or that all errors or interruptions will be corrected. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

12. Limitation of Liability

To the maximum extent permitted by law, Enki Studios and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from or related to the Service.

To the maximum extent permitted by law, our total liability arising from or relating to the Service or these Terms will not exceed the greater of the amount you paid to Enki Studios for the Service during the twelve months before the event giving rise to the claim or one hundred United States dollars. These limitations do not apply where prohibited by law.

13. Changes to the Service or Terms

We may modify the Service and these Terms as the product, our business, or applicable law evolves. We will update the "Last Updated" date and provide additional notice of material changes when required. Changes apply prospectively when they take effect. If you do not agree to revised Terms, you must stop using the Service.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service will be brought in the state or federal courts located in Delaware, and each party consents to the jurisdiction and venue of those courts, except where applicable consumer law requires otherwise.
